Choose the right register

The Internet Registry Office, iROS, provides access to the Korean courts’ registers. For companies, choose “법인”, legal persons. The competent registry generally depends on the head office, but ordinary register certificates may also be requested at another registry. [1] [4] [5]

DART is a separate source for company disclosures held by the Financial Supervisory Service. It contains documents of companies registered as filers in that system. [1] [7] [8]

What the register contains

The Commercial Registration Act covers several company forms and foreign companies. Certificate contents can include the name, head office, capital, purposes and registered officers. The record identifies the officer’s particular role. [1] [3]

A full certificate can omit branch and registered-manager sections unless those sections are requested. Select them expressly when needed. Older closed paper records have separate request and reservation procedures. [3]

Third-party access, membership and overseas use

Article 15 of the Commercial Registration Act allows any person to request inspection and certificates for a fee. Access to annexed file documents is limited to the part in which the applicant has an interest. Entitlement to a register certificate therefore does not confer access to the complete application file. [1]

The internet procedure does not require prior membership for ordinary inspection or a printable certificate. It does require registration for an electronic certificate issued as a document. Applicant and payment details remain necessary without membership. Use the payment methods offered by the portal; the rule expressly limits these to designated providers. [4]

DART disclosures are available over the internet without having to represent the company. The English interface helps international users but does not change the court register’s content or the scope of English disclosures. [8] [9]

Financial reports and DART coverage

DART separates annual, semi-annual and quarterly reports from external-audit documents. Its company directory contains companies registered in the filing system, including certain unlisted filers. [6] [7]

The Financial Supervisory Service does not certify the accuracy of every disclosure. It also warns that voluntary English disclosures have no independent legal effect and may differ from the Korean text. [9]

Shareholdings and beneficial ownership

DART includes reports of significant stock holdings and holdings of executives and major shareholders. These are securities disclosures for the companies covered. They are distinct from registered officers and from a full identification of the natural persons exercising ultimate control. [6] [9]

For a private company’s ownership chain, a registered officer’s name and the absence of a DART report are insufficient. Obtain appropriate ownership documents and check any intermediate companies in their own registers. [1] [3] [7]

Recognise pending changes

If a registration application is being processed, the service must flag that fact before inspection. Certificate issuance can be held until completion or the certificate can disclose the pending application. Check this notice when reviewing a company immediately before a transaction. [3] [4]

Avoid common mistakes

  • A company’s 13-digit corporate registration number, its separate business registration number and a certificate’s 12-digit verification number are different identifiers. [3] [5] [7]
  • Choose “말소사항 포함” for deleted entries. “현재 유효사항” excludes matters that are no longer effective. [3]
  • A printable certificate and an electronic-document certificate follow different procedures. Membership is expressly required for the electronic-document route. [4]

Frequently asked questions

May I check a company that I do not represent?

Yes. Article 15 permits any person to request paid inspection and certificates. Inspection of annexed file documents is restricted to the part in which the requester has an interest. [1]

Which output should I choose for official evidence?

Choose certificate issuance, “발급”. The cheaper inspection option, “열람”, can be printed but remains marked as an inspection copy. [2] [3]

Why is a company missing from DART?

DART covers companies registered as filers in its system. Check iROS for the legal registration. [1] [7]
