Choose the right register

RJSC holds records for private and public companies and foreign companies registered in Bangladesh. Its remit also includes trade organisations, societies and partnership firms. A foreign-company file concerns the records registered in Bangladesh; research the home-country register separately for the company’s original incorporation. [2]

Section 347(5) of the Companies Act allows any person to inspect records for a fee and to request copies and certified extracts. RJSC also describes its copy service as open to anyone. Profit and loss accounts are subject to separate access restrictions. [13] [2]

Documents held in the file

The certified-copy catalogue includes incorporation and constitutional documents, annual returns and dated changes. It also includes registered security interests over assets, their modification and satisfaction, and records of striking off or winding up. Select records individually according to your research question. [2]

For foreign companies, RJSC lists the overseas company’s constitution, registration certificate, head-office address, directors and managers, and persons authorised to accept service. These differ from the documents for a private company incorporated in Bangladesh. [2]

Accounts and overseas access

To create an account, provide your first name and contact details, including your email address, postal address and telephone number. You also need your date of birth, a username and a password. The country list includes Germany and other countries outside Bangladesh. Enter the displayed verification code to complete the form. [6]

The statutory right to request records is expressed as a right of any person and does not require share ownership. Use a general account for your own enquiry. [13] [2] [6]

Fee, VAT and stamp charges

For each certified document copy, the calculator lists a BDT 500 base fee, BDT 75 VAT (15%) and BDT 100 stamp. These three items total BDT 675. BDT denotes Bangladeshi taka. For two documents, these items total BDT 1,350. [4]

The separate fee information page also lists a BDT 20 court fee per application per company. The calculator’s short result does not separately display this application item. BDT 675 is therefore the sum of the three displayed document items, rather than a guaranteed final total for every application. Use the charge breakdown on the actual application for payment. [3] [4]

Annual returns and financial statements

Schedule X is generally filed within 21 days after the annual general meeting. It covers capital, shareholders and officers. The balance sheet and profit and loss account are separate documents, generally filed within 30 days after presentation at that meeting. If the meeting was not held, section 190 refers to the latest date by which it should legally have been held. [7] [13]

For a private company that is not a subsidiary of a public company, section 190(1) limits inspection and copies of its profit and loss account to members. That specific restriction does not cover the balance sheet. RJSC’s service instructions describe access to profit and loss accounts more generally as limited to authorised company personnel. For external financial research, request the balance sheet first and do not assume open access to the income statement. [13] [2]

Shareholders and beneficial owners

Schedule X records immediate shareholders and share transfers. A shareholder can itself be a company. Follow such ownership chains to the natural persons and examine other means of control. [12] [10]

BFIU’s guidance defines beneficial owners as natural persons. It includes ownership of at least 20% and effective control, including through ownership chains. These are customer-due-diligence rules. A Schedule X copy is therefore one input to the enquiry, rather than a conclusive official certificate identifying every beneficial owner. [10] [12]

Receive certified copies by email

Open RJSC’s “Apply for certified copy” service and sign in with your general user account. Complete the application for the records you need and pay the displayed fee. Digitally filed documents listed in the official notice are then delivered automatically to your email address. [14] [8]

Avoid common mistakes

  • An annual shareholder return has a specific reference date. Later share transfers or management changes may require additional filings. [12] [11] [2]
  • Form XII concerns management. The annual shareholder list is in Schedule X. The two documents answer different questions. [11] [12]
  • General research accounts and registered-entity accounts have separate entry points. Do not use another organisation’s credentials for an external enquiry. [8] [6]
  • The document-verification form distinguishes the registration number from the issue number. Copy both from the particular document. [9]

Frequently asked questions

Can I search without an account?

“Search Entity Names” requires sign-in. You can open the fee calculator and blank sample forms without an account. The document-verification form is also publicly accessible. [5] [4] [9] [11] [12]

Which documents help identify owners?

Start with Schedule X for the year you need. Examine the recorded transfers and relevant later changes. Where a shareholder is another legal entity, research the underlying natural persons separately. [12] [2] [10]

Can an outsider obtain complete financial statements?

Request the balance sheet separately. For certain private companies, the law reserves the profit and loss account to members. RJSC also describes its issue of these accounts as limited to authorised company personnel. [13] [2]

Is BDT 675 the final order price?

It is the sum of the base fee, VAT and stamp per document in the calculator. The fee information page also lists BDT 20 per application per company. Check the cost breakdown for your particular application. [4] [3]
