Burundi: free registry inspection, extracts and replacement documents

Article 38 of the published Commercial Code gives any person access to free inspection at the registry authority. Extracts are issued at the requester’s expense. ADB separately lists a duplicate service for lost registry documents, requiring a loss certificate and an authorised applicant.

Choose the right register

Under Article 35, the Registre du commerce et des sociétés covers individual traders, commercial companies, other registrable legal persons and branches of foreign companies. Subsequent changes are also recorded. The tax-identification register is separate. [1]

The 2015 law names the then Agence pour la Promotion des Investissements. Current procedure pages are published by the Agence de Développement du Burundi, or ADB. Use ADB’s current contact to route an information request. [1] [4]

When the duplicate service is appropriate

ADB’s Demande de Duplicata service requires a loss certificate from the Police Judiciaire des Parquets and the original and copy of the identity card or passport of the authorised person designated by the partners. The published fee is BIF 15,000. This replaces a lost document; it is not an equivalent ordering route for arbitrary company research. [2] [3]

EasyBusiness primarily handles procedures

ADB’s online-incorporation guide points to easybusiness.bi. It describes an account with email verification and submission of company documents. This establishes neither a free public company search engine nor downloading other companies’ files. For research alone, Article 38 inspection is the appropriate starting point. [3] [1]

Avoid common mistakes

  • The BIF 100,000 individual-registration and BIF 200,000 company-registration charges are incorporation fees. They are not prices for a research extract. [3]
  • Article 38 permits inspection by any person. The requirement for a person designated by the partners belongs to the separate duplicate service and must not be applied to all research. [1] [2]
