Choose the right register
The Office of Company Registrar (OCR) is Nepal’s company registry under the Ministry of Industry, Commerce and Supplies. Its public data portal receives registration data from CAMIS, the authority’s administration system. Start company research in the public portal and select “Company Register”. [1] [12]
The public results table helps establish which company you are looking at. Memoranda, articles and audited accounts follow the copy-access rules in section 25 of the Companies Act. Rights differ between a Public Company and a Private Company. [2] [3]

Names and abbreviations explained
- OCROffice of Company Registrar
- Nepal’s authority for companies governed by the Companies Act. It is based in Tripureshwor, Kathmandu. [12]
- CAMISCompany Administration and Management Information System
- The electronic system for company incorporation and administration. Company accounts serve those procedures; the public data portal has a separate entry point. [11] [8] [1]
- PANPermanent Account Number
- The Nepalese tax number. The public portal accepts it as a search identifier, but the results table may conceal part of the displayed number with “xxx”. [2]
- Private Company / Public CompanyPrivate Limited Company / Public Limited Company
- Two company categories under Nepalese company law. The distinction also affects document access: section 25 allows anyone to request the specified Public Company records, while for other companies it identifies shareholders and other interested persons. [3]
Search step by step
Search for a company in the public portal
Choose English and “Company Register”
Open the public portal, select “English” at the top and go to “Company Register”. The initial company-table view may already display records. Use the search fields for a targeted query. [1] [2]
Search by number or open the name fields
The main field expects a PAN or registration number. For a name, open “Advanced Filters”. There are separate “Company Name (English)” and “Company Name (Nepali)” fields. Other filters cover registration number, PAN, status, province, district and registration dates. [2]
Complete verification and check the status filter
Answer the displayed maths challenge yourself and select “Search” or “Apply Filters”. The advanced form opens with “Approved” selected as the status. Review that selection when researching a deregistered company or another status. [2]
Match more than the name
Compare the English and Nepali names with the registration number and address. The table also includes type, status, registration date and deregistration date. A dash indicates that no value is displayed; a partly masked PAN does not provide the full tax number. [2]
Request constitutional documents or annual accounts
Identify the document and access entitlement
Record the company name and registration number. Specify the document and financial year or relevant date. Section 25 permits anyone to request the specified Public Company documents. For a Private Company, explain your interest, for example as a shareholder or creditor. [3] [4]
Approach the company first
Section 25 starts with supply by the company. Its copying charge follows its articles and must, under the registry directive, be based on actual costs. Keep your request and the response if you subsequently need to approach the registry. [3] [4]
Request an OCR copy if the company does not supply it
If the company does not provide the documents, section 25(2) provides for copies from the OCR’s existing records. Address the application to the OCR and explain your interest where required. The Citizen Charter lists certified document copies as a separate service. State expressly if certification is required. [3] [6] [12]
Separate the page charge from the application charge
The OCR directive sets these copies at NPR 10 per page. The Citizen Charter specifies a NPR 10 revenue stamp for an individual’s application. Copies of the separate foreign-company register have a different rate of NPR 50 per page. Incorporation fees are therefore not the basis for calculating copy charges. [4] [5] [6]
Documents and fees
| Document / information | Contents and purpose | Fee | How to get it |
|---|---|---|---|
| Public register table [1] [2] | English and Nepali company names, registration number, partly masked PAN, type, status, address and registration or deregistration dates where displayed. | Free. | Company Register in the public portal. Complete maths verification for a targeted search or filters; no login. |
| Memorandum or articles copy [3] [4] [6] | The filed Memorandum of Association or Articles of Association, with specified amendments or versions where requested. | OCR copy: NPR 10 per page. The Citizen Charter specifies a NPR 10 revenue stamp for an individual’s application. Direct supply by the company follows its permitted, cost-based charge. | Request first from the company under section 25. If not supplied, apply to the OCR for its existing records; establish your interest for a Private Company.
|
| Annual financial statements and audit report [3] [4] [6] | Balance sheet, profit and loss account, cash-flow statement and audit report for the requested year. A directors’ report is a separate document. | Copies from OCR records: NPR 10 per page; also account for the application revenue stamp specified in the Citizen Charter. | Specify the documents and financial year. Section 25 copy rules apply to financial statements too; the annual filing duty does not create a general free online download. |
| Shareholder-register copy [3] | Shareholders’ names and addresses, share numbers, paid and outstanding amounts, and entry or removal dates. Examine other persons’ interests separately. | For a Public Company, the prescribed fee; for a Private Company, the fee in its memorandum, articles or consensus agreement. | Request directly from the company under section 46(5). Allow for legally permitted temporary closures of register inspection. |
| Foreign-company register copy [3] [5] | Entry recording a foreign company’s registration in Nepal, for example its branch or liaison office. | NPR 50 per page in the OCR fee table. | Ask the OCR expressly for a copy from the register under section 154(10), which is open to the general public. |
Companies covered by the register
The public portal distinguishes Private Companies, Public Companies, profit non-distributing companies and foreign companies. Its foreign-company category includes branch and liaison offices. This guide covers those company registers; an OCR query does not automatically cover every other type of local business registration. [1] [3]
For a foreign company, the Nepalese entry concerns its registration in Nepal. Section 154(10) requires a separate register available for public inspection and copies on payment of the prescribed fee. The parent company’s incorporation-country register is a further source for its home registration and representation. [3]
Overseas access and company accounts
The portal describes its public data access as requiring no login. The search form asks for neither a Nepalese identity document nor a company account. It requires the search details and maths verification. The English interface is also public. [1] [2]
File copies depend on the applicable entitlement. Section 25 permits anyone to request the specified Public Company documents. For Private Companies, the directive identifies creditors, a shareholder’s heirs, auditors and anyone else who establishes an interest. [3] [4]
“Create Company User Account” instead leads to new-company registration. Companies with an account in the old system are directed to migration. The blank account form asks for a username, email and mobile number. [8] [9]
For an overseas document request, contact the OCR at info@ocr.gov.np about application acceptance, payment and delivery. The published copy rules do not describe that international fulfilment process. Do not plan an unarranged visit to working areas: the published notice prohibits entry by unrelated persons and directs CAMIS procedures to the online service. [3] [6] [11] [12]
Documents you can request by name
Section 25 covers the memorandum and articles, a prospectus where filed, annual accounts, the audit report and the directors’ report. It applies to documents submitted by the company to the OCR. Specify the document accurately so that, for example, you receive the current articles rather than only the incorporation version. [3]
The Citizen Charter lists certified document copies with a two-day service period. Where the company itself applies, it specifies that the company must be up to date through the preceding financial year. That service standard does not promise international payment or delivery times. [6]
To incorporate a Nepali company, the Office of Company Registrar requires the memorandum and articles of association in Nepali. For companies with foreign investment, both documents must be prepared in English and filed with a Nepali translation. [14]
Annual accounts and annual filings
Under the current section 80, every company must generally submit its audited annual financial statements with the audit report to the OCR within six months of financial year-end, unless the Act provides otherwise. Companies holding an annual general meeting must also file the meeting documents and resolutions within 30 days of that meeting. [3]
Section 109 specifies a balance sheet, profit and loss account and cash-flow statement. An annual filing can additionally contain meeting information and a directors’ report. For financial analysis, request the financial statements for the required year and the audit report expressly. Their copies follow the access rules in section 25. [3]
The public dashboard also displays aggregate processing figures under “Annual Report”. Those figures are not the target company’s accounts. The visible public company table provides basic records, without balance-sheet line items. [1] [2]
Shareholders and beneficial interests
The company keeps its shareholder register under section 46. It records names and addresses, share quantities and paid or outstanding amounts, among other information. Section 46(5) provides for a copy to a requesting person for the applicable charge. A lawful temporary closure for inspection may restrict access. The OCR page rate for official copies is not automatically the charge for a register copy requested directly from the company. [3]
Section 47 addresses shares in which another person invests or holds a beneficial interest behind the registered shareholder. The company may request that person’s identity and the nature of the right. After receiving the information, it must record it in the shareholder register and notify the OCR within seven days. [3]
The OCR direction on recording beneficial interests requires these CAMIS declarations at incorporation, on share transfers and with annual filings. The filing obligation is distinct from public disclosure: the visible company table has no separate beneficial-owner column. An ownership review therefore needs the shareholder records and the associated information about other persons’ rights. [7] [2] [3]
Official samples and reading guides
Official checklist for a Public Company’s annual declaration
Schedule 2 of the registry directive, PDF pages 49 to 52, lists the matters covered by the written declaration of company-law compliance. It helps distinguish that declaration from audited financial statements. The template contains no company-specific data. [4]
Avoid common mistakes
- The main search field is for a PAN or registration number. Separate name fields appear under “Advanced Filters”. Entering a name into the number field is not a reliable search test. [2]
- Do not copy an empty field or masked PAN as though it were complete information. Keep the displayed registration number and match it to the requested document. [2]
- Incorporation and capital-increase fees, including time-limited waivers, are not copy prices. The OCR table has separate lines for ordinary document copies and the foreign-company register. [5]
Frequently asked questions
Can I search without a Nepalese identity document?
The public portal requires neither an account nor an identity document for search. It offers an English interface and requires maths verification for a query. An overseas document request also depends on the copy-access rules and OCR fulfilment arrangements. [1] [2]
Can I research using only the company name?
Yes. Open “Advanced Filters” in the public “Company Register” and use the English or Nepali name field. The main field expects a PAN or registration number. [2]
Can anyone obtain a Private Company’s documents?
Section 25 identifies shareholders and other interested persons. The directive includes creditors, a shareholder’s heirs, auditors and people who establish their interest. For a Public Company, the same section opens access to anyone. [3] [4]
What do OCR copies cost?
For ordinary section 25 copies, the directive specifies NPR 10 per page. The Citizen Charter requires a NPR 10 revenue stamp on an individual’s application. OCR lists a separate NPR 50 per-page rate for the foreign-company register. [4] [5] [6]
Does the free register show the beneficial owner?
The visible public table contains basic registration and status data. The OCR direction requires beneficial-interest information in companies’ CAMIS filings. Review registered shareholders and persons holding rights behind those shares separately. [2] [7] [3]
