Eswatini: obtain company records from the Registrar of Companies

A name-availability check is not a company-record search. Government describes an online name search for incorporation purposes. Section 8 of the Companies Act 2009 provides a separate route for existing records: paid inspection, certificates, copies or extracts from the Registrar.

Choose the right register

The Registrar of Companies holds company documents and handles registrations and amendments. The office is in the Justice Building on Mhlambanyatsi Road, Mbabane. For research concerning an existing company, ask explicitly for inspection or copies of filed records. [1] [2]

What the online name check establishes

Government describes the online.gov.sz route through Business, Business registration, Company name search or Company reservation. It explains that similar names may be registered or reserved. Do not use a name-availability check alone to establish a company’s existence, current status or owners. [1]

Filings and annual records

Companies file annual returns on Form C. The authority also lists audited annual financial statements for public companies and associations not for gain. Request the specific file copy, stating the company type and financial year. [1]

Avoid common mistakes

  • The official instructions identify both reservation and registration as reasons for a matching name. [1]
  • Foreign-company incorporation requirements are not automatically conditions for every registry enquiry. The inspection provision in section 8 refers to any person. [2]

Frequently asked questions

May a foreign person request a copy?

Section 8 refers to any person without stating a citizenship restriction there. Payment, representation and delivery for an overseas request must be agreed with the Registrar. [2]

Is the online name search a full company-record service?

The name-checking service is used to choose and reserve a company name. Contact the registry for company files or registry extracts. [1]
